Terms and conditions
This is a translation for your convenience; the German version is legally binding.
1. Scope
These general terms and conditions apply to all business areas of SFrankenberger GmbH, in particular:
- Events (planning, organisation, delivery)
- Tours (own tours, arranging tours by other guides)
- Streaming (hybrid and digital events, technical delivery)
- Education and training
- Consulting
Deviating terms of the customer are only recognised if expressly agreed in writing.
2. Booking and conclusion of contract
The contract is concluded by the customer’s written, verbal or electronic booking and its confirmation by SFrankenberger GmbH. For group bookings, the booking applies to all participants of the group, and the person booking is jointly and severally liable for all claims arising from the booking. By booking, the customer accepts these terms.
3. Payment
- Tours and events: payment after the event by invoice or in cash without deduction.
- Streaming and consulting: 50 % advance payment when the contract is concluded; the balance after delivery.
- Training and courses: payment no later than 14 days before the start, unless agreed otherwise.
Interest on late payment is 5 % above the base rate.
4. Services and changes
The scope of services follows from the respective description. Changes or side agreements require written confirmation by SFrankenberger GmbH. Changes to the programme made necessary by unforeseeable circumstances are permitted as long as they do not substantially change the overall character of the service; SFrankenberger GmbH will inform the customer without delay and offer alternatives.
5. Cancellation by the customer
Cancellations must be made in writing. The following fees apply:
Tours and events:
- up to 30 days before the start: free of charge
- 29 to 15 days: 20 % of the contract value
- 14 to 6 days: 50 % of the contract value
- from 5 days and in case of no-show: 100 % of the contract value
Streaming and consulting:
- up to 14 days before the start: 30 % of the contract value
- from 13 days: 100 % of the contract value
Cancellation terms for third-party services follow the terms of the respective provider.
6. Withdrawal by SFrankenberger GmbH
SFrankenberger GmbH may withdraw from the contract if the minimum number of participants is not reached (group events), if the customer endangers the delivery through conduct in breach of contract, or if force majeure or other circumstances beyond its control make delivery impossible. Payments already made will be refunded.
7. Liability
SFrankenberger GmbH is liable for the careful planning and delivery of the booked services and for the selection and supervision of service providers. It is not liable for third-party services (e.g. transport, external guides), which are only arranged, nor for loss or theft. Customers are advised to take out suitable insurance.
8. Customer’s duty to cooperate
The customer must report defects or disruptions without delay so that they can be remedied.
9. Data protection
Personal data is used exclusively to deliver the service and to look after the customer, in line with data protection law. It is only passed on to third parties with express consent or where needed to fulfil the contract.
10. Severability
If any provision is invalid, the rest of the contract remains valid. The invalid provision is replaced by a lawful one that comes closest to its economic purpose.
11. Place of performance and jurisdiction
Place of performance and jurisdiction is Passau, Germany.
